Terms of service
These Terms govern your access to and use of the BidOps service (the "Service") provided by BidOps Inc., a Canadian corporation ("BidOps"). By creating an account or using the Service, you agree to them.
1. The service
BidOps helps you discover Canadian public-sector procurement and grant opportunities, qualify them against your business profile, extract requirements, and draft responses. Features and limits depend on your plan and are described on our pricing page.
2. Accounts
You must provide accurate information and keep it current. You're responsible for everything done under your account, including by team members you invite. Don't share credentials.
3. Acceptable use
You agree not to:
- Reverse engineer or attempt to extract our proprietary models or matching logic.
- Resell, sublicense, or use the Service to build a competing product.
- Upload content that infringes third-party rights or violates law.
- Use the Service to misrepresent yourself in a bid submission.
- Probe, scan, or otherwise circumvent our security controls.
4. Your content
You retain ownership of all content you upload or create in the Service ("Customer Content"). You grant BidOps a limited, worldwide, royalty-free license to host, process, and display Customer Content solely as needed to operate the Service for you.
We will not use Customer Content to train generic public AI models. Aggregate, de-identified usage data may be used to improve the Service.
5. Plans, trials, and billing
Paid plans include a 14-day free trial. We collect a payment method at signup but do not charge it until the trial ends. You can cancel any time before day 15 without being charged.
After the trial, your plan renews monthly or annually at the price shown at checkout. Fees are non-refundable except where required by law. If a payment fails, we'll retry and email you; if it continues to fail, we may downgrade or suspend the account.
We may change pricing with at least 30 days' notice before your next renewal.
6. Cancellation and termination
You can cancel from your billing settings at any time. Cancellation takes effect at the end of the current billing period. We keep your bid content available for 90 days after cancellation so you can reactivate, then delete it permanently.
We may suspend or terminate accounts that violate these Terms, present a security risk, or are in extended non-payment.
7. Output and bid responsibility
BidOps generates suggested drafts, scores, and requirement extractions. These are aids, not legal advice and not a guarantee of contract award. You are responsible for reviewing and certifying everything you submit to a procuring authority. We don't accept responsibility for inaccurate bid submissions, missed deadlines, or contracts not won.
8. Third-party data
Procurement notices, grant programs, and award records inside the Service are sourced from public Canadian government systems. We make reasonable efforts to keep this data accurate and current. Authoritative source is always the issuing authority's own posting; verify before submitting.
9. Confidentiality
Each party agrees to protect the other's confidential information with the same care it uses for its own (no less than reasonable), and to use it only to perform under these Terms.
10. Warranties & disclaimers
We provide the Service with reasonable skill and care. To the maximum extent permitted by law, the Service is provided "as is". We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, BidOps' total aggregate liability arising out of or related to these Terms in any 12-month period is limited to the fees you paid in that period. Neither party is liable for indirect, consequential, or punitive damages.
12. Indemnity
You will defend and indemnify BidOps from third-party claims arising from your use of the Service in breach of these Terms or from Customer Content infringing a third party's rights.
13. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. Disputes go to the courts of Toronto, Ontario, and both parties consent to that jurisdiction.
14. Changes
We may revise these Terms. Material changes will be announced by email to the account owner at least 30 days before they take effect. Continued use after that date constitutes acceptance.
